A Deal Memo is not a wish list. It is a precise, structured brief that tells us exactly what you are looking for, on what terms, and by when. Our team takes each Deal Memo and works through the full Venture Circle — and beyond it into our wider network of investors, lenders, advisers, and operators — to find the right match. When we find one, we make a warm introduction. We brief both parties in advance. We do not send cold emails.

The Venture Circle is a community business growth ecosystem that connects businesses with everything they need to grow — from free digital tools and business strategy support through to funding, workspace, investors, and ultimately acquisition or exit. It is free to join for any business that completes a Sialph Sprint (or invited).
Everyone in the Circle contributes by offering opportunities or participates in networking and joint ventures.
Any UK business can join the Venture Circle via a Startup Sprint (£500) or Local Sprint (£500). You can use apply to join the Venture Circle via the direct membership route (see below). Alternatively, you may be directly invited to join or via one of our sponsored onboarding events (i.e. in partnership with other Venture Circle parties).
Investors, VCs, PE firms, and corporate buyers can join as a separate membership level. We will prioritise deals that you are looking to finance or businesses to acquire from our internal deal flow, plus our own built AI industry research tools.
We create multiple and unique opportunities for you to get involved with businesses within the community.
: When you submit a Deal Memo — for a fundraise, a joint venture, a partnership, a property, or anything else — our team takes it and works through the full Venture Circle to find the right match. We look at every other member’s current profile, their Progress Submissions, and their own active Deal Memos. When we find a match, we brief both parties independently and, with consent from both sides, make a warm introduction.
You can have multiple Deal Memos active at the same time — for example, one for a £150,000 equity raise and one for a co-marketing partnership. Each one triggers a separate search. There is no additional charge for submitting Deal Memos. It is part of what membership is for.
We do not guarantee that every Deal Memo will result in an introduction. Some are very specific, some require a counterparty that does not yet exist in the Circle, and some need time. But every submission is read and every one is actively worked. We will always let you know what we have found.
Your monthly (or weekly) Progress Submission is read by our team — not filed in a database. What you share tells us three things: what you have achieved (which we can help you promote and build on), what you are struggling with (which we can often solve by connecting you to the right person in the Circle), and what you need next (which we match against other members’ Deal Memos and capabilities).
A member who says their biggest challenge this month was finding a reliable packaging supplier might be matched the same week with a Circle member who supplies exactly that. A member who reports landing a corporate contract might be introduced to an investor who specifically backs businesses at that stage. These connections happen because we are reading the whole Circle simultaneously — something no individual member can do alone.
Through the Venture Circle, businesses can access Revenue Based Finance, invoice finance, asset finance, commercial bridging, development finance, and SEIS/EIS equity investment. We do not send you to a list of lenders to apply to yourself. When your Progress Submission or Deal Memo tells us you need finance, we identify the right lender or investor from our panel and make the introduction directly. We earn a fee from the lender when a facility completes — never from you. All finance introductions are for limited company borrowers. Sialph Ltd is not FCA authorised and does not provide financial advice or arrange regulated investment transactions.
HMRC’s Making Tax Digital for Income Tax becomes mandatory in April 2026 for sole traders earning over £50,000. The threshold drops to £30,000 in 2027 and £20,000 in 2028. This means the vast majority of self-employed people in the UK will eventually need to use HMRC-approved accounting software like Xero. Through the Venture Circle’s Digital Bundle, businesses in our partner boroughs can access Xero at 90% off — making MTD compliance affordable from day one.
By our own inhouse built analytical systems we analyse all Circle members Deal Memos, Progress Submissions to identify opportunities, match organisations with others who help solve each other’s problems and even create new opportunities by spotting community trends.
What this means that, not only will you be able to find resources that your business needs (i.e. marketing software or finance), but you may also find opportunities with live deals.
For example, if you are a bakery and in your Deal Memo you have stated you want some property finance to fund a development of a larger bakery, we will actively seek to source or support you in this. However, another Circle member’s Progress Submission may show that they are planning a local event and might need catering to support that event – in which we will make a warm introduction to both as a recommendation.
The Venture Circle is free to join because Sialph earns from the deals it originates — not from membership fees.
When we identify a match between two parties — a PE firm and a developer, a local authority and an infrastructure partner, a business and a funder — and that match results in a completed transaction, Sialph charges an origination fee. On commercial property and infrastructure deals, this is typically 2.5% of the total transaction value, charged to one or both parties depending on the nature of the deal and agreed in writing before any introduction is made.
You always know the fee before the introduction happens. You never pay a fee unless a deal completes.
This model means our interests are directly aligned with yours. We only earn when the match works. The better the brief you give us — through your Deal Memo and Progress Submissions — the faster we find the right counterparty, and the more likely the deal completes
Sialph is not authorised or regulated by the Financial Conduct
Authority. We do not give investment advice, arrange regulated investment transactions, or act as a consumer credit broker. We introduce limited company borrowers to commercial finance lenders (an unregulated activity), charge fixed advisory fees for grant and SEIS/EIS preparation (advisory services), and charge fixed subscription fees for investor deal flow access.
